Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the services offered by MCI Partner (“Company,” “we,” or “us”), including our website, lead-submission platform, and related tools (collectively, the “Service”). By registering, accessing, or using the Service, you agree to comply with and be bound by these Terms.

2. Definitions

  • User: a property owner or representative submitting property details for sale or purchase.
  • Agent: an individual scouting off-market or distressed properties and submitting leads (“Lead Submission”).
  • Lead Submission: the data package provided by an Agent, including property address, owner contact, condition notes, and images.
  • Property Listing: a Lead Submission accepted and managed by Company for evaluation, negotiation, or purchase.
  • Fees: any charges, commissions, or payouts due to Agents or owed by Users, as described herein.
  • Content: any text, images, data or other material submitted by Users or Agents.

3. Eligibility and Registration

To register as a User or Agent, you must be at least 18 years old, provide accurate and complete information, and maintain the confidentiality of your credentials. You authorize us to verify any information you submit. We reserve the right to suspend or terminate accounts that use false information or violate these Terms.

4. Use of Service

  • Users may request property evaluations or publish Property Listings with Company.
  • Agents may submit Lead Submissions via the Service, subject to Company review and acceptance.
  • You agree not to misuse the Service or interfere with its security or functionality.

5. Lead Submission and Acceptance

Agents submit leads through our online form or API. Each Lead Submission must include:

  • Owner’s full name and valid phone number.
  • Complete property address and status (off-market or distressed).
  • High-resolution photographs or video.

Company will review submissions within 48 hours. If accepted, a Lead becomes a Property Listing, and Agents are notified of preliminary valuation and payout parameters. Company may reject or request additional information at its sole discretion.

6. Non-Compete and Exclusivity

Once a Lead Submission is accepted as a Property Listing, Agents shall not list, market, or negotiate the property with any third party. Breach of this exclusivity may result in forfeiture of payout, account termination, and potential legal action.

7. Compensation and Payout Terms

Agent compensation is contingent upon Company’s successful closing of the property. Payout calculation factors include:

  1. Submission Quality: completeness, accuracy, and timeliness of Lead Submission.
  2. Owner Engagement: documented initial contact and owner responsiveness.
  3. Documentation Quality: clarity and relevance of submitted images and details.
  4. Closing Proceeds: net amount received by Company at closing.

The exact payout percentage is confirmed upon lead acceptance and disbursed within thirty (30) days after closing, subject to verification of proceeds and deduction of any fees or adjustments.

8. User Responsibilities

  • Provide accurate property information, including liens and encumbrances.
  • Cooperate with inspections, paperwork, and closing procedures.
  • Understand that offers are based on available data; Company may withdraw offers if misrepresentations are discovered.

9. Intellectual Property

All content, trademarks, logos, and proprietary technology in the Service are owned by Company or its licensors. You may not copy, reproduce, distribute, or create derivative works without our express written consent.

10. Privacy and Data Security

Your submission of personal and property data constitutes consent for us to use, store, and share data with third-party investors, service providers, and affiliates as described in our Privacy Policy. We implement industry-standard security measures, including TLS encryption in transit and AES-256 at rest, to protect data integrity and confidentiality.

11. Fees and Payment

Users may be charged fees for certain services, communicated at the time of service request. Agents incur no registration fees. Payouts are subject to final closing amounts and may be offset by refunds, chargebacks, or third-party costs. All payouts are denominated in U.S. dollars.

12. Disclaimers

The Service and all information are provided “as is,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Company does not guarantee property sale prices or timelines.

13. Limitation of Liability

To the maximum extent permitted by law, Company’s liability for any claim under these Terms will not exceed the total fees paid by you to Company in the 12 months preceding the claim. Company is not liable for indirect, incidental, special, or consequential damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from claims, liabilities, damages, or expenses arising from your breach of these Terms or your use of the Service.

15. Termination

Company may suspend or terminate accounts for violation of these Terms, fraudulent activity, or at its sole discretion, without liability. Upon termination, your rights under these Terms immediately cease.

16. Dispute Resolution

Disputes shall first be resolved through good-faith mediation. If unresolved, disputes will be submitted to binding arbitration in Milwaukee County, Wisconsin, under the rules of the American Arbitration Association. Each party bears its own costs.

17. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.

18. Severability and Waiver

If any provision is deemed invalid, the remainder of these Terms remains in effect. Failure to enforce any right or provision is not a waiver of future enforcement.

19. Entire Agreement

These Terms, together with the Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Company regarding the Service.

20. Amendments

We may modify these Terms at any time by posting updated Terms with a revised Effective Date. Continued use of the Service constitutes acceptance of changes.
